1. Introduction

Welcome to PIXPLY LTD. These Terms and Conditions ("Terms") govern your access to and use of our website, as well as the reservation, pre-order, purchase, delivery, and use of any products and services offered by PIXPLY LTD now or in the future.

By using our website or making a reservation, pre-order, or purchase, you acknowledge and agree to these Terms, which establish the legal agreement between you ("Customer", "You") and PIXPLY LTD ("Company", "We", "Us").

If you do not agree with these Terms, please do not use our website, make a reservation, pre-order, or purchase.

2. Definitions

For the purpose of these Terms and Conditions, the following definitions apply:

  • "Company," "We," "Us," "Our" – Refers to PIXPLY LTD, including its subsidiaries, affiliates, and any entity operating under its brand.

  • "Customer," "You," "User" – Refers to any individual or entity accessing or using the website, making a reservation, pre-order, or purchase of any products or services offered by PIXPLY LTD.

  • "Website" – Refers to the official website of PIXPLY LTD, including any subdomains, applications, or services provided through it.

  • "Products" – Refers to any hardware, software, or digital goods offered by PIXPLY LTD, including but not limited to Pixply Digi Mat and future products.

  • "Services" – Refers to any features, content, applications, or support provided by PIXPLY LTD, including but not limited to website functionality, customer support, and software updates.

  • "Reservation" – Refers to the process of securing early access to a product, either through a free or paid option, without an immediate obligation to complete a purchase.

  • "Pre-order" – Refers to a partial or full payment made in advance to secure a product before its official release.

  • "Purchase" – Refers to the full transaction where the product or service is bought and confirmed for delivery.

  • "Agreement" – Refers to these Terms and Conditions, forming the legal contract between PIXPLY LTD and the User.

3. Reservation, Pre-order, and Purchase

3.1 Reservation

  • A reservation allows you to express interest in purchasing a product before its official release.

  • Reservations can be free (email signup) or paid, where a portion of the product price is paid in advance.

  • A paid reservation grants priority access and secures the opportunity to purchase the product, subject to availability.

  • Reservations do not constitute a final purchase and do not guarantee a specific delivery date.


3.2 Pre-order

  • A pre-order involves making a partial or full payment before the product is available for general purchase.

  • Pre-orders are subject to production timelines, and estimated delivery dates may change due to unforeseen circumstances.

  • Pre-orders may come with additional benefits such as discounts, early access, or exclusive features, as specified at the time of purchase.


3.3 Purchase

  • A purchase is a completed transaction where the full product price is paid, and the order is confirmed for delivery.

  • Purchases are subject to availability, shipping conditions, and final terms as outlined in this agreement.

  • Any remaining balance from a pre-order or reservation payment must be paid before the product is shipped.


3.4 Payment Terms

  • All payments must be made using the approved methods listed on our website.

  • Prices are listed in GBP, US Dollars, and Euros and may be subject to taxes, duties, shipping costs, or additional charges, which will be clearly stated at checkout.

  • We reserve the right to adjust pricing due to factors such as material costs, production challenges, or regulatory changes.


3.5 Order Acceptance and Cancellation

  • PIXPLY LTD reserves the right to accept or reject any reservation, pre-order, or purchase at its sole discretion.

  • If an order is canceled by PIXPLY LTD, a full refund will be issued.

  • Customers may cancel their reservation, pre-order, or purchase under the conditions outlined in the Refund and Cancellation Policy (Section 8).

4. Pricing and Payment Terms

4.1 Pricing

  • All product and service prices are listed in GBP, US Dollars, and Euros.

  • Prices may be subject to change due to factors such as material costs, production expenses, currency fluctuations, or regulatory requirements.

  • Any price changes will not affect confirmed pre-orders or purchases unless explicitly stated.

  • Additional charges, including taxes, duties, and shipping costs, will be calculated at checkout and clearly displayed before payment.


4.2 Payment Methods

  • We accept approved payment methods as listed on our website, which may include credit/debit cards, PayPal, bank transfers, and other secure payment options.

  • Payment must be completed in full for purchases or as specified for reservations and pre-orders.


4.3 Currency and Exchange Rates

  • Payments must be made in GBP, US Dollars, or Euros.

  • If a payment is made in a different currency, exchange rate fees may apply, and PIXPLY LTD is not responsible for any additional charges imposed by financial institutions.


4.4 Taxes, Duties, and Shipping Costs

  • The total amount payable will include applicable sales tax, VAT, import duties, and shipping fees, depending on the shipping destination.

  • Customers are responsible for any import duties, customs fees, or additional taxes imposed by their local authorities.


4.5 Payment Security

  • All transactions are processed through secure and encrypted payment gateways.

  • PIXPLY LTD does not store or have access to customer payment details beyond what is necessary to process the transaction.


4.6 Failed or Rejected Payments

  • If a payment fails or is rejected by the payment provider, the order may be canceled, and the reservation or pre-order may be forfeited.

  • Customers will be notified and given an opportunity to update their payment method if necessary.

5. Final Purchase and Remaining Balance

5.1 Completing a Purchase

  • A purchase is considered final once the full payment has been made and the order is confirmed by PIXPLY LTD.

  • If you made a reservation or pre-order, the remaining balance must be paid before the product is shipped.

  • Customers will receive a payment notification and deadline when the final payment is due.


5.2 Payment of the Remaining Balance

  • For paid reservations or pre-orders, the amount already paid will be deducted from the final price.

  • Customers must complete the remaining payment within the specified deadline.

  • Failure to pay the remaining balance on time may result in order cancellation, and refund policies outlined in Section 8 (Refund and Cancellation Policy) will apply.


5.3 Price Adjustments and Changes

  • If production costs, taxes, or shipping fees change, the final price may be adjusted. Customers will be notified in advance.

  • Price adjustments do not apply to already completed purchases.


5.4 Order Confirmation and Invoice

  • After the final payment is made, customers will receive an order confirmation and invoice via email.

  • This confirmation serves as proof of purchase and contains order details, including pricing, taxes, and estimated delivery.

6. Estimated Delivery and Delays

6.1 Estimated Delivery Timeline

  • The estimated delivery date for pre-ordered and purchased products will be provided at checkout or in your order confirmation.

  • Delivery timelines are based on production schedules, supply chain availability, and logistics factors.

  • Estimated dates are not guarantees and may change due to unforeseen circumstances.


6.2 Delays and Production Changes

  • Delays may occur due to factors such as manufacturing issues, supply chain disruptions, regulatory approvals, or unforeseen technical challenges.

  • In the event of a significant delay, PIXPLY LTD will notify customers and provide an updated timeline.

  • If delays exceed a reasonable period, customers may be eligible for a refund or alternative compensation, as outlined in Section 8 (Refund and Cancellation Policy).


6.3 Partial Shipments

  • If an order contains multiple items, PIXPLY LTD reserves the right to ship available items separately, unless otherwise stated.

  • Additional shipping charges for split shipments may apply and will be communicated in advance.


6.4 Shipping and Delivery Responsibilities

  • Once the product is handed over to the shipping provider, PIXPLY LTD is not responsible for shipping delays caused by third-party couriers, customs clearance, or force majeure events.

  • Customers are responsible for providing accurate shipping details and ensuring that they can receive the package.


6.5 Address Changes and Failed Deliveries

  • Customers must notify PIXPLY LTD of any address changes before the product is shipped.

  • If a delivery fails due to an incorrect address or failure to receive the package, the customer may be required to cover additional re-shipment costs.

7. Product Modifications and Changes

7.1 Product Development and Final Design

  • The Pixply Digi Mat and other products offered by PIXPLY LTD are under continuous development, and design, specifications, features, and performance may change before final production.

  • The product images, descriptions, and prototypes shown on the website or marketing materials are for reference only and may not exactly represent the final version.


7.2 Feature Adjustments and Improvements

  • PIXPLY LTD reserves the right to modify or improve product features, materials, and software to enhance performance, durability, or usability.

  • If any critical features change significantly, customers will be notified in advance and may be given options regarding their reservation or purchase.


7.3 Software Updates and Compatibility

  • Some products may require firmware or software updates to function optimally.

  • Customers are responsible for ensuring that their devices and systems are compatible with PIXPLY LTD products and updates.


7.4 Discontinuation or Replacement

  • PIXPLY LTD reserves the right to discontinue or replace a product before delivery if necessary.

  • In such cases, affected customers will be notified and given the option to accept a replacement product or request a refund, as outlined in Section 8 (Refund and Cancellation Policy).

8. Refund and Cancellation Policy

8.1 Reservation Cancellations

  • Free reservations (email signup) can be canceled at any time without any obligation.

  • Paid reservation fees are fully refundable at any time before completing the purchase (i.e., before the final payment is made).


8.2 Purchase Cancellations

  • A purchase is fully refundable before dispatching.

  • If the order is canceled after dispatching but before delivery, the refund will be issued minus the shipping costs, which must be covered by the customer.


8.3 Refunds After Delivery

  • Customers have 14 days from the date of delivery to request a refund, in compliance with UK and EU consumer laws.

  • The refund will be for the full product price, but the customer must cover the return shipping costs.

  • Returned products must be unused, undamaged, and in their original packaging to qualify for a refund.


8.4 Cancellation by PIXPLY LTD

  • PIXPLY LTD reserves the right to cancel any reservation, pre-order, or purchase due to:

    • Inability to fulfill the order due to production issues, supply chain disruptions, or legal restrictions.

    • Pricing errors or fraudulent transactions.

    • Customer failing to complete payment within the required timeframe.

  • If PIXPLY LTD cancels the order, a full refund will be issued to the customer.


8.5 Refund Eligibility for Delays

  • After purchase completion, any delay will be communicated via email.

  • Customers can choose to either request a full refund or keep their order active.

  • In case of a refund request due to delay, the full refund will be processed.

  • If the product was already dispatched, the shipping cost might be deducted from the refund amount.


8.6 Refund Process

  • Customer Support: For refund requests, contact support@pixply.io.

  • Refund Timing:

    • Refunds will be processed within 14 days after a request is approved.

    • If the refund request is made after product delivery, due to the product inspection process, the refund will be processed within 30 days.

  • Refunds will be issued via the original payment method. Transaction fees or currency conversion differences are not covered by PIXPLY LTD.


8.7 Failed Deliveries and Reshipping

  • If a delivery fails due to incorrect shipping information provided by the customer, a refund will be issued minus the original shipping costs.

  • If the customer wishes to have the product re-shipped, they must cover the reshipping costs.


8.8 Non-Refundable Situations

  • Refunds will not be issued for:

    • Products returned in damaged, used, or incomplete condition.

    • Shipping costs once the product has been dispatched.

9. Returns and Warranty

9.1 Return Policy

  • Customers have 14 days from the date of delivery to request a return.

  • To be eligible for a return, the product must be:

    • Unused, undamaged, and in its original packaging.

    • Returned with all included accessories and components.

  • Customers must contact support@pixply.io to initiate a return request.

  • The customer is responsible for return shipping costs, unless the product is defective or incorrect.


9.2 Return Process

  • Once a return request is approved, customers will receive return instructions, including the return shipping address.

  • Upon receiving the returned product, PIXPLY LTD will inspect it within 14 days to verify eligibility.

  • If the return is approved, a refund will be processed according to Section 8 (Refund and Cancellation Policy).


9.3 Warranty Coverage

  • PIXPLY LTD provides a 12-month warranty on all products against manufacturing defects and hardware failures.

  • The warranty covers:

    • Defects in materials or workmanship.

    • Functional failures not caused by improper use.

  • The warranty does not cover:

    • Damage caused by misuse, accidents, or unauthorized modifications.

    • Normal wear and tear or cosmetic damage.

    • Software issues not related to hardware defects.


9.4 Warranty Claims

  • Customers must contact support@pixply.io with proof of purchase and a description of the issue.

  • PIXPLY LTD may require photos, videos, or additional troubleshooting steps before approving a warranty claim.

  • If approved, the product may be:

    • Repaired or replaced at no cost to the customer.

    • Refunded if no repair or replacement is possible.


9.5 Shipping Costs for Returns and Warranty Claims

  • For returns (non-defective products), the customer covers return shipping costs.

  • For warranty claims, PIXPLY LTD will cover:

    • Shipping costs if the product is found to have a valid defect.

    • The customer is responsible for shipping costs if the issue is not covered under warranty.

10. Transfer and Resale Restrictions

10.1 Non-Transferability of Reservations and Pre-Orders

  • Reservations, pre-orders, and purchases made through PIXPLY LTD are non-transferable.

  • Customers may not sell, assign, or transfer their reservation or pre-order to another party without prior written consent from PIXPLY LTD.


10.2 Restrictions on Resale

  • Products purchased from PIXPLY LTD are intended for personal use or authorized distribution only.

  • Customers may not resell the product as a new item for commercial purposes unless they are an authorized reseller or distributor approved by PIXPLY LTD.

  • Unauthorized resale may result in:

    • Warranty being voided for the resold product.

    • Legal action against unauthorized sellers.


10.3 Resale for Personal Use

  • Customers who no longer wish to keep their purchased product may resell it as a used item, but they must inform the buyer that:

    • The warranty may not transfer to the new owner.

    • PIXPLY LTD does not provide customer support for second-hand purchases.


10.4 Prohibition on Bulk Purchasing for Resale

  • Bulk orders suspected of being intended for resale without authorization may be canceled at the discretion of PIXPLY LTD.

  • Customers or businesses interested in bulk purchases for resale must apply for an official reseller agreement.

11. Customer Responsibilities and Compliance

11.1 Accurate Information

  • Customers must provide accurate, complete, and up-to-date personal and payment information when making a reservation, pre-order, or purchase.

  • PIXPLY LTD is not responsible for issues caused by incorrect shipping details, payment errors, or failure to update contact information.


11.2 Compliance with Local Laws

  • Customers are responsible for ensuring that the purchase, import, and use of PIXPLY LTD products comply with local laws and regulations in their country.

  • PIXPLY LTD is not responsible for customs restrictions, import duties, or legal limitations affecting delivery or product use in certain regions.


11.3 Proper Use of Products

  • Customers must use PIXPLY LTD products only for their intended purpose and in accordance with provided instructions and guidelines.

  • PIXPLY LTD is not responsible for damages, injuries, or malfunctions caused by misuse, unauthorized modifications, or improper handling of the product.


11.4 Account and Security Responsibilities

  • If the website requires account registration, customers are responsible for maintaining the confidentiality of their login credentials.

  • Any unauthorized use of an account should be reported to PIXPLY LTD immediately.

  • PIXPLY LTD is not responsible for unauthorized access resulting from weak passwords or compromised accounts.


11.5 Communication and Support Requests

  • Customers should contact support@pixply.io for any issues related to reservations, purchases, refunds, warranty claims, or technical support.

  • PIXPLY LTD will make reasonable efforts to respond within 30 business days but does not guarantee immediate resolution for all cases.

12. Warranty and Disclaimer

12.1 Limited Warranty Coverage

  • PIXPLY LTD provides a limited warranty of 12 months from the date of delivery against manufacturing defects and hardware failures.

  • The warranty applies only to products purchased directly from PIXPLY LTD or an authorized reseller.

  • The warranty covers:

    • Defects in materials or workmanship.

    • Functional failures not caused by improper use.


12.2 Warranty Exclusions

  • The warranty does not cover:

    • Damage caused by misuse, accidents, neglect, unauthorized modifications, or improper handling.

    • Normal wear and tear, cosmetic damage, or environmental factors (e.g., water damage, excessive heat exposure).

    • Software issues unrelated to hardware failures.

    • Damage caused during unauthorized repairs or third-party servicing.

    • Products purchased from unauthorized sellers or second-hand markets.


12.3 Warranty Claims

  • Customers must submit a warranty claim request to support@pixply.io with:

    • Proof of purchase.

    • Description of the issue and supporting photos/videos.

  • PIXPLY LTD may require troubleshooting steps before approving a warranty claim.

  • If a warranty claim is approved, PIXPLY LTD may:

    • Repair or replace the defective product at no cost.

    • Issue a refund if no repair or replacement is possible.


12.4 Disclaimer of Warranties

  • PIXPLY LTD provides all products and services on an "as is" and "as available" basis, without express or implied warranties beyond those explicitly stated.

  • PIXPLY LTD does not guarantee uninterrupted or error-free operation of its products, software, or services.

  • To the maximum extent permitted by law, PIXPLY LTD disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

13. Liability Limitation

13.1 Limitation of Liability

  • To the maximum extent permitted by law, PIXPLY LTD and its affiliates, officers, employees, and agents shall not be liable for any:

    • Indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities.

    • Damages arising from delays, defects, or inability to use the product, even if PIXPLY LTD was advised of the possibility of such damages.


13.2 Maximum Liability Cap

  • In any event, PIXPLY LTD’s total liability shall not exceed the total amount paid by the customer for the product or service in question.


13.3 No Liability for External Factors

  • PIXPLY LTD is not responsible for damages or losses caused by:

    • Misuse, accidents, or unauthorized modifications to the product.

    • Third-party services, applications, or integrations used with the product.

    • Shipping delays, customs restrictions, or force majeure events (e.g., natural disasters, government actions, supply chain disruptions).


13.4 Compliance with Local Laws
Some jurisdictions do not allow certain liability exclusions. In such cases, these limitations apply only to the extent permitted by local laws.

14. Intellectual Property Rights

14.1 Ownership of Intellectual Property

  • All products, designs, software, trademarks, brand names, logos, website content, marketing materials, and any creative assets related to PIXPLY LTD are the exclusive property of PIXPLY LTD.

  • Customers do not acquire any ownership rights to PIXPLY LTD’s intellectual property, except for the right to use purchased products as intended.

  • Game layout designs, instruction materials, graphics, UI/UX elements, and software code are protected by copyright laws and international treaties.


14.2 Restrictions on Use

  • Customers and third parties may not:

    • Copy, reproduce, modify, distribute, or reverse-engineer any hardware, software, digital content, or creative materials from PIXPLY LTD.

    • Use PIXPLY LTD’s trademarks, branding, or designs without prior written permission.

    • Sell, distribute, or reproduce instruction materials, game layouts, or software components.

    • Claim ownership or seek patent/trademark registration for any aspect of PIXPLY LTD’s intellectual property.


14.3 Software and Firmware Usage

  • Any software, firmware, or digital content included with PIXPLY LTD products is licensed, not sold, to the customer.

  • Customers may only use the software as intended and may not modify, redistribute, or exploit it for commercial purposes.

  • Unauthorized distribution, decompilation, or modification of the software may result in legal action.


14.4 Enforcement of Intellectual Property Rights

  • PIXPLY LTD actively protects its copyrights, trademarks, patents, and designs against unauthorized use.

  • Unauthorized reproduction, resale, or public use of PIXPLY LTD’s intellectual property may result in legal penalties.

  • Any suspected violations should be reported to contact@pixply.io.

15. Privacy Policy and Data Protection

Your privacy is important to us. PIXPLY LTD collects and processes personal data in accordance with UK GDPR and other applicable data protection laws.

16. Force Majeure

16.1 Definition of Force Majeure

  • PIXPLY LTD shall not be held liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to:

    • Natural disasters (e.g., earthquakes, floods, fires).

    • War, terrorism, civil unrest, or government actions.

    • Supply chain disruptions, labor strikes, or transportation failures.

    • Power outages, cyber-attacks, or other technical failures.

 

16.2 Effect on Obligations

  • In the event of a force majeure occurrence:

    • PIXPLY LTD’s obligations may be suspended for the duration of the disruption.

    • Customers will be notified of any delays or adjustments to delivery timelines.

    • If the force majeure event prevents fulfillment beyond a reasonable period, PIXPLY LTD reserves the right to cancel the order and issue a refund if applicable.

 

16.3 No Liability for Delays or Losses

  • PIXPLY LTD shall not be responsible for any losses, damages, or additional costs incurred by customers due to force majeure events.

17. Governing Law and Dispute Resolution

17.1 Governing Law

  • These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.

  • If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full effect.


17.2 Dispute Resolution

  • In the event of a dispute, customers must first contact PIXPLY LTD at support@pixply.io to seek an amicable resolution.

  • If the dispute cannot be resolved informally, both parties agree to submit to mediation or arbitration before pursuing legal action.

  • Any legal claims or proceedings shall be brought exclusively in the courts of England and Wales, unless otherwise required by consumer protection laws in the customer’s jurisdiction.


17.3 Consumer Rights Protection

  • Nothing in this section affects the statutory rights of consumers under applicable consumer protection laws.

  • Customers residing in the UK, EU, or other jurisdictions with strong consumer protections may have additional rights under local laws.

18. Changes to These Terms

18.1 Right to Modify

  • PIXPLY LTD reserves the right to update, modify, or change these Terms and Conditions at any time without prior notice.

  • Any updates will be published on our website, and the "Last Updated" date will be revised accordingly.


18.2 Customer Notification

  • Significant changes that materially affect customer rights or obligations will be communicated via email or website notification.

  • Continued use of our website, services, or products after an update constitutes acceptance of the revised Terms.


18.3 Review of Terms

  • Customers are encouraged to periodically review these Terms to stay informed of any changes.

  • If you do not agree with any modifications, you must stop using our services and contact support@pixply.io regarding any existing orders.
